Exchange 200x requires Active Directory.
So AD first...probably by upgrading your PDC.
Then install the ADC from Exchange 2003...this will help you migrate
Exchange directory information to AD.
Then you forestprep/domainprep/install Exchange 2003.
And you start moving mailboxes etc.
