2) YOUR DOUBTS
Since you're doing a migration by installing a new organization, you can
keep Public Folders synchronized by using the Inter-Organization Replication
Tool:

As for your Exchange Directory, ADC will sync between Exchange 5.5 Dir and
Active Directory.
