Upgrading your domain (assuming you upgrade) shouldn't effect your exchange
servers. Once done, set up ADC, and do and exchange upgrade/migration. Lots
of good stuff on MS. Is there a good reason you're not going directly to
2003. You can save yourself a step.

domain are unsuitable for upgrade to W2K? Thanks.
