I've just answared a very similar question:

If you don't want to keep the same name, I would advise you to do swing
upgrade:
"How to upgrade to Exchange Server 2003 by using the swing upgrade method",
http://support.microsoft.com/default.aspx?scid=KB;EN-US;821896
(You're not really doing an upgrade, but the principle is the same). If you
follow this method you'll have a smooth transition with no downtime.
If you want to keep the same name, you can folow the steps on this article:
"How to Move Exchange 2003 to New Hardware and Keep the Same Server Name",
http://support.microsoft.com/kb/822945
Personally I prefer the first one.

Hi,
I forgot to mention the new Exchnage server will be attached to a new domain
so I want to move all the data etc.. from the old Exchange server in the old
domain to the new Exchange server in the new domain - is this possible using
the methods suggested?
Thanks

If you want to move to another domain, then you'll have to do a clean
install of the new server and then moving the mailboxes using ExMerge or the
Migration Wizard.

Exchange Server Mailbox Merge Wizard (ExMerge): it extracts mailboxes to
..PST files, which you can later import back to Exchange Server
http://www.microsoft.com/downloads/details.aspx?FamilyID=429163ec-dcdf-47dc-96da-1c12d67327d5&displaylang=en
The Migration Wizard kind of automates the mailbox moving process. You can
find more information in this fine article:
Using the Exchange Migration Wizard
